Biography

Vivian Ma is a member of our Litigation & Insolvency and Restructuring team in the Shanghai office. She assists with dispute resolution, including litigation, arbitration and mediation. Vivian covers a wide range of industries and sectors, and she specializes in assisting with the resolution of general commercial disputes, shareholder disputes, international trade, maritime and insurance disputes, including restructuring and insolvency related matters. Prior to joining us, Vivian worked at two international law firms in Hong Kong where she advised various domestic and international companies on contentious and non-contentious legal matters, and later she briefly worked at a PRC law firm in Shanghai, practicing in international arbitration.

Vivian is a Solicitor of Hong Kong, England and Wales, and British Virgin Islands, a Fellow Member of the Chartered Instituted of Arbitrators (FCIArb), and an Accredited General Mediator of Hong Kong Mediation Accreditation Association Limited (HKMAAL) and The Law Society of Hong Kong.

Vivian is fluent in Mandarin, Cantonese and English.

Vivian’s experience in relation to shareholder disputes include:

Acting on behalf of New Frontier Health Corporation in s238 dissenting shareholder proceedings in the Cayman Islands.

Acting on behalf of Sina Corporation in s238 dissenting shareholder proceedings in the Cayman Islands.

Acting on behalf of JA Solar Holdings in s238 dissenting shareholder proceedings in the Cayman Islands.

Acting on behalf of Trina Solar Limited in s238 dissenting shareholder proceedings in the Cayman Islands.

Acting on behalf of David Golden, the owner of a large luxury property development in Shanghai, in highly contentious proceedings in the BVI and has obtained a series of wins in the face of a highly complex fraud and bitterly fought proceedings brought by HU LAN for ownership and control of BVI Companies holding over US$1.5 billion in assets.

Acting on behalf of a wholly subsidiary of a household name, technology and media company in confidential enforcement proceedings arising under a Licence Agreement and an Investment Agreement relating to a joint venture.

Acting on behalf of a famous pharmaceutical enterprise in China in a shareholders’ dispute between the shareholders of a Cayman joint venture which operates drug R&D business via a PRC entity in China in Cayman proceedings with ongoing disputes also taking place in China.

Acting against WeRide in a Cayman Islands dispute brought by Jing Wang, AI leader of formerly Baidu.

Acting for the shareholder and director of a Cayman Islands company (the client) on civil litigation proceedings against the Cayman Islands company in the Grand Court of the Cayman Islands for breach of contract and sought specific performance for issuance of shares by the Cayman Islands company pursuant to previous agreement between the client and the Cayman Island company.

Vivian’s experience in relation to enforcement, insolvency and restructuring include:

Acting on behalf of Dongzheng Ruibo (Shanghai) Investment Center (Limited Partnership) and Orient TM Ruibo Limited (both entities within the Orient Securities Group), the indirect majority shareholders of Taomee Holdings Limited, a well-known children’s entertainment company, in contesting the winding up petition commenced by minority shareholders in the Cayman Islands.

Acting as Cayman counsel to an asset management company in a liquidation procedure valued at over US$300 million.

Acting for Grandview Holdings Limited (currently known as Lyu Brothers Limited) in a matter arising out of the 2013 - 2015 winding-up of Cayman company Blue Ridge China DFSS Holdings.

Vivian’s experience in relation to contentious trusts include:
Acting in a matter concerning recovery of assets dissipated in breach of trust, namely land held in Sanya, Hainan by PRC companies worth over US$1 billion, through a HK and BVI structure.

Acting on behalf of the wife and son of one of Taiwan’s pre-eminent families in defence of proceedings in the BVI commenced by the husband in relation to the ownership of the shares in some BVI companies which indirectly hold significant real estate assets and businesses in the PRC valued at billions of US dollars.
